Nuveen Closies of $1.25 Billion Senior Notes Offering

Nuveen, LLC announced today that it has closed an offering of $1.25 billion aggregate principal amount of senior unsecured notes which have been issued in two series: (i) a series of 5.550% senior notes due 2030 in an aggregate principal amount of $500 million and (ii) a series of 5.850% senior notes due 2034 in an aggregate principal amount of $750 million.

The 2030 Notes will mature on January 15, 2030, and the 2034 Notes will mature on April 15, 2034. Nuveen intends to use the net proceeds for general corporate purposes, which may include, among other things, the repayment of $1 billion aggregate principal amount of 4.125% senior notes due November 1, 2024 previously issued by Nuveen Finance, LLC, a wholly owned subsidiary of Nuveen.

The Notes were offered only to (i) persons reasonably believed to be qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”) and (ii) certain non-U.S. persons outside the United States pursuant to Regulation S under the Securities Act. The Notes have not been registered under the Securities Act or any state securities laws and therefore may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state securities laws.
