Sidley Represents Rogers in Resolution of Proxy Contest With Starboard Value

Sidley represented Rogers Corporation in its settlement of a potential proxy contest with activist hedge fund Starboard Value, which owns approximately 6.5% of the company’s shares. Pursuant to the settlement agreement, Rogers has appointed two new independent directors to the board. Starboard had nominated six director candidates for election to the 10-member board.
